Down-To-Earth Eco L.L.C. (The Company) is an Intentional Restorative Community that operates a campground and outdoor conference center business in Sage, California. We call our property “The EcoShire.” We are offering a limited number of shares (known as Memberships) to help our mission, company and community grow.
Membership At A Glance for 2023
The Company: is structured as an LLC which is a legal entity that owns land and property where some owners are residential operators who conduct business related to camping and outdoor events where the mission is: Restoration through Recreation.
A Member is an individual who owns one or more Memberships.
A Membership (Share) is a contractual and legal claim to a percentage of ownership in the Company. A membership secures contractual: rights, voice, assets and benefits.
Company Valuation: The LLC will appraise the value of the company each year by considering all assets and liabilities, income and debt. As of January 1st valuation of the Company was between $700,000 and $1,200,000. The company's owned assets currently include:
Membership Price: The price of Memberships will be set by the amount of the LLC valuation divided by the number of owned memberships. As of January 1st, 2023 there were 35 Memberships owned; that number was divided into the low end appraisal of $700,000 to reset price at $20,000 each.
Member’s Percentage of Ownership: As of January 1st 2023, there were 35 memberships owned (35 divided into 100%), so each membership was a claim for 2.857% ownership.
Annual Budget: The Members of the LLC will establish an annual budget to include projected costs of maintenance, development, and possible expansion.
New Memberships: 5 new Memberships have been made available in 2023 for the price of $20,000 each in order to raise $100,000 and help meet budget goals for the year. If sold, this will raise the number of total memberships from 35 to 40 and therefore ownership percentage will dilute (from 2.857% to 2.5%). However, the $100,000 added to company capital is to be invested to raise the company appraisal to a range of $1,000,000 to $1,400,000 and will also increase company revenue; therefore, even though ownership percentages dilute with each new membership added, the value of each will go up as well (in this example from $20,000 to at least $25,000 each).
Residential Members: Pay rent to the Company and abide by a Community Lifestyle Agreement. Only Members are allowed to live on Company Property for more than 21 days a year. Camp Rent is $600 per month per adult. Children 18 & under $60 per month. Room Rent is an additional $600 per month. Each membership is given a $100 discount.
Work Exchange: Only Members are allowed to work for the Company or work exchange against rental fees for a discount rate of $10 per hour.
Example: Rent for 1 Adult + 1 Child in a structure = $1260 per month
Member owns 4 memberships: subtract $400 = $860 per month
Member works 2 hrs a day/62 hours in a month: subtract $620 = $240 rent owed.
Memberships may only be financed when sold by an existing Member as a private loan.
Steps to Residency:
1) Introduction: Spend at least 30 days camping or woofing at the EcoShire
2) Engagement: If EcoShire is a good fit for you, you can make a 10% deposit on a Membership and begin a 6 month probationary period.
3) Commitment: Once your probationary period is complete, you may become a Member with Residential privilege once you:
